• FIDIC training and legal consultancy services have been provided in relation to contract management, claims, DAB/DAAB procedures, dispute avoidance, extensions of time, cost claims, variation orders and employer-contractor relationship management.

• Legal consultancy services have been provided to a Turkish infrastructure, construction and transportation group of companies in relation to domestic and cross-border partnership structures, joint venture models, corporate governance, project cooperation models and contractual arrangements for transportation, railway, infrastructure, construction and defence-related projects.

• Consultancy services have included the structuring of a domestic and/or foreign partnership model for transportation, railway and infrastructure projects, including the establishment of a joint stock company, shareholders’ agreement, authority matrix, protocol and corporate governance framework.

• Legal support has also been provided in relation to construction and infrastructure projects in Iraq, including the structuring of joint venture arrangements, project cooperation documents and contractual arrangements with public authorities, including defence-related public institutions.

• Contractual documents regulating the partnership structure, reserved matters, management and representation authorities, use of IP / know-how, step-in rights, balancing protection mechanisms and the internal relationship between the parties have been prepared and negotiated.

• Legal consultancy services have been provided on manufacturer / distributor relationships, distribution network structuring, authorised service and dealer arrangements, after-sales services, warranty processes, spare parts stocks, buy-back mechanisms, competition law and contract management.

• Distribution agreement, authorised service / dealer agreements, warranty and after-sales service provisions, transition support mechanisms and operational-legal documents for the establishment of the distribution network have been prepared, with the relevant agreements structured in favour of the client and on a back-to-back basis where appropriate.

• Legal consultancy services have been provided in relation to the establishment and structuring of a holding company in London / United Kingdom, including the preparation of corporate structuring documents, shareholders’ agreement, founders’ arrangements, articles of association, ownership and governance documents, non-compete undertakings and other related corporate documents.

• Consultancy services have included advice on the shareholding structure, group structure, decision-making mechanisms, reserved matters, management and representation authorities, internal relationship between founders / shareholders and cross-border corporate coordination, in cooperation with local counsel where required.

• Legal support has also been provided in relation to the contractual and corporate documents required for the implementation of the holding structure under the laws of England and Wales.

• Legal consultancy services have been provided in relation to the shareholding, controlling shareholder position, group governance, representation / authorisation structure and decision-making mechanisms of Kazakhstan-based subsidiaries of a Türkiye-based group company.

• Board resolutions, shareholding and intra-group authorisation documents, reserved matters, reporting mechanisms, authority matrix and corporate governance documents for the subsidiaries have been prepared.

• Legal consultancy services have been provided in relation to domestic and cross-border sale and purchase of defence industry products, supply, warranty processes, technical support / training services, regulatory / certification obligations, confidentiality, intellectual property, know-how and export-oriented contractual risks.

• International sale and purchase agreements, warranty certificates, manufacturer / seller obligations, technical support and training annexes, NDAs, distribution / agency and business development documents have been prepared, and risk management support has been provided in negotiations with counterparties in favour of the client.

• Legal consultancy services have been provided for the preparation of memorandum of understanding, framework agreement, shareholders' agreement and articles of association for the company(ies) to be established in  Türkiye  and foreign countries with foreign partner(s) to operate in the transportation sector.  This includes participation in negotiations regarding the aforementioned agreements and managing the process in collaboration with the client.

• In the course of the Dispute Adjudication Board procedure, legal consultancy services were provided to the Employer for the amicable settlement of disputes  between the Employer and the Contractor, arising from the FIDIC contract related to the IPA (European Union Funded) Project within the framework of the provisions of the FIDIC Red Book Sub-Article 20.5 and the legislation provisions set out in Articles 9, 10 and 11 of the Decree Law No. 659.

• During the amicable settlement phase, the necessary legal opinions and documents were prepared and submitted to the Employer both in Turkish and English, and the settlement negotiations were conducted in collaboration with the client, as parts of the amicable settlement procedure.  

• An Amicable Settlement Agreement was prepared and an evaluation report containing legal opinions on the dispute was submitted.

• Legal consultancy services were provided to the Employer regarding contract management in this process.

• Consultancy services were provided to the client within the framework of Competition Law in the investigation conducted by the Competition Board against the undertakings serving in the pharmaceutical sector within the framework of the Competition Board's decision on whether there is any direct or indirect relationship that may cause an arrangement or action that has the purpose or effect of preventing, distorting or restricting competition within the framework of Article 4 of the Law on the Protection of Competition, or that may cause the creation of a dominant position in favour of any undertaking or the abuse of a dominant position within the framework of Article 6 of the same Law.

• Legal consultancy services were provided for participating in the on-site inspections conducted by the Competition Board, conducting official correspondence in accordance with the relevant information and documents regarding the written and oral questions of the Board, making written and oral defences before the Board and conducting the processes within the scope of the competition investigation in collaboration with the client.

• Provided legal consultancy services in relation to the preparation of the framework agreement, shareholders' agreement and articles of association for holding company planned to be established in  Türkiye by more than one international company. This includes participation in the negotiations concerning the aforementioned agreements and conducting them in collaboration with the client.

• Legal consultancy services were provided for the preparation of Non-Disclosure and Non-Compete Agreements between the parties, as well as for conducting negotiations related to these agreements.

• Legal Consultancy services have been providing the International Consultancy Company and the Employer on Legal Process Management regarding the FIDIC type of Contract.

• Legal Consultancy services have been providing the International Consultancy Company and the Employer on tender process management under Contract Procedures for European Union External Action (Prag Guide).

• Legal consultancy services have been providing to the Contracting Authority on the legal infrastructure of the Project (including digital experience museums and other facilities) to be established within the scope of Build Operate Transfer Model.

• Representing the Employer / the Contracting Authority in the dispute to be resolved by Dispute Adjudication Board (DAB) and arising from the FIDIC Contract regarding project which is an IPA (EU financed) project.

• Rendering consultancy services about the correspondences between parties and DAB Member, drafting claims, statement of case, responses and rebuttals, closing statements and other necessary documents, representing the client in the hearings and assisting the client in process management.

• Legal consultancy services have been provided about preparing the NCNDA (Non-Circumvention Non-Disclosure Agreement) & (MOI) Memorandum of Intent, the exclusivity sales agreement..

• Legal consultancy services have been providing about preparing articles of association, shareholders agreements, non-compete and property ownership undertakings, and other document required for establishing a company in Berlin in accordance with relevant laws of Germany.

• Legal consultancy services have been providing about preparing GDPR documents.

• Legal consultancy services are provided about preparing the NCNDA (Non-Circumvention Non-Disclosure Agreement) & (MOI) Memorandum of Intent, the exclusivity sales agreement, conclusion of the agreement and execution of the agreement.

• Legal consultancy services were provided to the Contracting Authority on the legal infrastructure of the Project (including digital experience museums and other facilities) to be established within the scope of Build Operate Transfer Model.

• Legal consultancy services have been provided about preparing articles of association, shareholders agreements, non-compete and property ownership undertakings, and other document required for establishing a company in London in accordance with relevant laws of England and Wales.

• Legal consultancy services have been provided about preparing the notification(s), agenda, minutes of ordinary and extraordinary general assembly in accordance with relevant laws of England and Wales.

• Legal consultancy services have been provided about preparing GDPR documents.

• Legal consultancy services have been provided about preparing share option and option plan agreements in accordance with relevant laws of England and Wales.

• Legal consultancy services were provided with regard to disputes arising from a project of the Employer / Contracting Authority which is financed by the World Bank.

• Establishing the necessary legal opinions at the stage of resolving the dispute arising in relation to the contractual disputes within the framework of the amicable negotiations, participating in negotiations, when necessary,

• Preparing the documents to be prepared on behalf of the Employer / the Contracting Authority in Turkish and English and presenting them to the Administration,

• Preparation of the Amicable Settlement and the legal evaluation of the disputed issues,

• Preparation of the report to be submitted to the administration which is about the work and transactions to be done and the road map to be followed,

• Providing consultancy services to the Administration on contract management.

• Preparation of legal opinion report to improve the legality and quality of the contracts.

• Project management consultancy services are provided with regard to the dispute between the contracting parties in accordance with relevant laws of England and Wales.

• Legal consultancy services are provided about the liability of the parties for the delays in payments within the scope the L/C and liability of the relevant bank for the delays in payment.

• Legal consultancy services have been providing to the Contracting Authority on the legal infrastructure of the Geothermal Health Tourism Facility to be established within the scope of Project (including Thermal Hotel, SPA and Sport Centres, physical therapy and rehabilitation units and other facilities) to be established within the scope of Build, Operate Transfer Model.

• Preparation of DDR (Due-Diligence Report), option agreements and option plan, Articles of Association, and shareholder agreements.

• Legal consultancy services have been provided about preparing concordat project pre-project report and project report.

• Rendering consultancy services regarding applying to the Court for concordat and following the litigation process.

• Representing the Employer / the Contracting Authority in the dispute to be resolved by Dispute Adjudication Board (DAB) and arising from the FIDIC Contract regarding project which is an IPA (EU financed) project.

• Rendering consultancy services about the correspondences between parties and DAB Member, drafting claims, statement of case, responses and rebuttals, closing statements and other necessary documents, representing the client in the hearings and assisting the client in process management.

• Preparation and submission of legal report on its financial situation within the scope of Turkish Commercial Code and Turkish Enforcement and Bankruptcy Code.

• Rendering consultancy services to the Missions with regard to labour law and preparation of legal opinion(s).

• Rendering consultancy services to a Turkish company with regard to the correspondences with the leader firm and applications before EU institutions, CFCU and other relevant institutions as the client has been unjustly excluded from the project activities within scope of an EU Project.

• Rendering consultancy services to a lot of national and international companies and currently rendering legal consultancy services to a holding company, a construction company, a company being the exclusive distributor of an international brand for medical devices, a multinational project and engineering company, a company whose areas of activities are defence industry and internet of things regarding especially labour law, commercial law, law of contracts and intellectual property law.
